Notabene is seeking a highly qualified, experienced, and proactive General Counsel to join our mission to make crypto a part of the everyday economy. The role of the General Counsel extends beyond simply providing legal advice and will act as a strategic business partner for the whole business. We seek someone to participate in strategic decision-making, offer preventative legal guidance, and ensure the company’s protection in all legal matters.
What you'll be doing
- Draft, review, and negotiate various commercial agreements with customers and partners, including data processing agreements, data transfer, and other commercial agreements across multiple jurisdictions globally.
- Advising the company on various legal issues and complexities, ranging from contract law to corporate governance, employee law, and litigation risk.
- Act as the data privacy specialist, with the ability to flex to complex commercial contract negotiation when needed
- Proactively researching and anticipating potential legal issues that could impact the company, and developing strategies to mitigate these risks.
- Diligently ensure the company complies with all local, state, and federal laws and regulations, including conducting regular audits and recommending adjustments as needed.
- Representing the company in legal proceedings, coordinating with external legal counsel when necessary, and managing litigation and dispute resolution processes.
- Remain up-to-date on relevant consumer protection, commercial, IP, cyber-security, and data protection laws to ensure an ongoing ability to provide excellent legal advice.
- Manage all contracts and modify templates as needed.
What you'll bring
- 8+ years of relevant legal experience at a top-tier law firm and/or in-house counsel on a legal team (preferably in a high-growth technology and/or SaaS business).
- A Juris Doctor (JD) degree from an accredited law school and a strong academic background.
- Working knowledge of laws relating to privacy and data protection (particularly CCPA and GDPR), consumer protection, deceptive trade, and unfair marketing laws.
- Legal drafting and negotiation skills with prior experience negotiating complex commercial agreements related to orders/services, marketing, partnership, and data agreements.
- Ability to effectively articulate the company’s interests and negotiate favorable terms with external parties.
- Demonstrates robust project management and organizational proficiency, adept at effectively handling numerous priorities and efficiently processing a substantial workload with keen attention to detail.
- Ability to solve problems efficiently in a business-friendly, asynchronous, and creative way.
- Capable of efficiently resolving business challenges through a creative and asynchronous approach, fostering solutions that are both effective and conducive to a business-friendly environment.
